Real Estate Management Brokers Institute (REMBI)

1. SCOPE OF AGREEMENT

This Terms of Use Agreement (“Agreement”) is entered into by and between the Real Estate Management Brokers Institute (“REMBI,” “we,” “us,” or “our”) and you (“you” or “your”). This Agreement governs your access to and use of the www.rembi.org website and any other websites owned, operated, or controlled by REMBI (collectively, the “REMBI Websites”), together with all information, content, programs, materials, publications, memberships, certifications, events, products, and services made available by REMBI and/or third parties through the REMBI Websites (collectively, the “Services”).

By accessing, browsing, registering for, purchasing from, or otherwise using the Services, you acknowledge that you have read, understand, and agree to be bound by this Agreement. If you do not agree to these terms, you must not access or use the Services.

“Use” of the Services includes any actual or attempted access, interaction, registration, transaction, communication, data exchange, or content transmission associated with the Services.

This Agreement, together with any additional terms, policies, rules, codes of conduct, event guidelines, membership agreements, certification requirements, or notices posted on the REMBI Websites (including the Privacy Policy), constitutes the entire agreement between you and REMBI and supersedes all prior or contemporaneous agreements or understandings related to the Services.

REMBI reserves the right to modify, suspend, discontinue, or update the Services or this Agreement at any time in its sole discretion. Changes become effective upon posting to the REMBI Websites. Your continued use of the Services after the effective date constitutes acceptance of the revised Agreement.

2. INFORMATION AND PASSWORDS

Certain Services may require you to provide personal, professional, or organizational information, including but not limited to your name, company name, email address, telephone number, mailing address, payment information, and login credentials (collectively, “Information”).

You represent and warrant that all Information you provide is accurate, current, complete, and not misleading. You authorize REMBI to verify such Information as reasonably necessary to provide the Services.

Access to certain areas of the Services may require the use of unique login credentials, passwords, access codes, or authentication tools (“IDs”). IDs are personal and may not be shared. You are solely responsible for maintaining the confidentiality and security of your IDs and for all activity conducted under them.

REMBI is not responsible for losses or damages resulting from unauthorized use of your IDs. You agree to notify REMBI immediately of any suspected unauthorized access or security breach.

3. ACCESS TO AND USE OF THE SERVICES

You agree not to use the Services, directly or indirectly, in any manner that:

Is unlawful, defamatory, abusive, harassing, threatening, discriminatory, obscene, or otherwise objectionable
Violates any applicable law, regulation, or third-party rights
Infringes intellectual property, privacy, confidentiality, or proprietary rights
Disrupts, interferes with, or negatively impacts REMBI, its members, partners, or users
Misrepresents professional credentials, affiliations, or REMBI endorsement

You further agree not to attempt to compromise the security, integrity, or functionality of the Services, including through hacking, malware, unauthorized data collection, or unsolicited communications.

You are solely responsible for your conduct and any data, information, or materials you access, transmit, or rely upon through the Services.

4. INTERACTIVE SERVICES

REMBI may provide discussion forums, comment areas, message boards, chat tools, or other interactive features (“Interactive Services”). Any content you post, upload, transmit, or share (“Content”) through Interactive Services is your sole responsibility.

You acknowledge that:

You may be legally responsible for Content you transmit
REMBI does not endorse or guarantee the accuracy of user-generated Content
REMBI does not actively monitor all Content but reserves the right to remove Content at its discretion

Prohibited uses include, but are not limited to:

Commercial solicitation without authorization
Job postings, surveys, or marketing unless expressly permitted
Content that violates antitrust, unfair competition, or professional ethics standards

By submitting Content, you grant REMBI a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, distribute, display, and create derivative works from such Content for institutional, educational, and promotional purposes.

5. SHOPPING, PAYMENTS, AND DIGITAL PRODUCTS

REMBI may offer products, event registrations, certifications, publications, memberships, and digital materials (“Products”) for purchase.

Unless otherwise stated:

Digital products, downloads, on-demand content, and software are final sale and non-refundable
Event and membership refund policies are governed by the terms disclosed at registration
REMBI may cancel or refuse orders due to pricing errors, availability, or policy violations

Your sole remedy for any claim related to a Product shall be limited to the amount paid to REMBI for that Product.

6. INTELLECTUAL PROPERTY

All content, materials, trademarks, logos, publications, certifications, designs, software, and intellectual property made available through the Services (“Materials”) are owned by or licensed to REMBI.

You may access Materials for personal, educational, or professional development use only. You may not reproduce, distribute, modify, resell, or create derivative works without prior written consent.

Nothing in this Agreement grants you ownership or license rights beyond those expressly stated.

7. COPYRIGHT COMPLAINTS

REMBI respects intellectual property rights. If you believe copyrighted material has been infringed on the REMBI Websites, submit a written notice including:

Authorized signature
Description of the copyrighted work
Location of the allegedly infringing material
Contact information
Good-faith belief statement
Accuracy and authority declaration under penalty of perjury

8. LINKS TO THIRD-PARTY WEBSITES

The Services may include links to third-party websites or resources. REMBI does not control or endorse such sites and is not responsible for their content, policies, or practices. Use of third-party sites is at your own risk.

9. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” REMBI MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

REMBI DOES NOT GUARANTEE UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION OF THE SERVICES.

10. LIMITATION OF LIABILITY AND RELEASE

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REMBI SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES.

YOU AGREE TO RELEASE REMBI AND ITS OFFICERS, DIRECTORS, VOLUNTEERS, AFFILIATES, AND PARTNERS FROM ANY CLAIMS ARISING FROM THIRD-PARTY ACTIONS RELATED TO YOUR USE OF THE SERVICES.

11. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless REMBI from any claims, losses, liabilities, damages, or expenses arising from:

Your breach of this Agreement
Your use of the Services
Your Content or conduct

12. TERMINATION

REMBI may suspend or terminate access to the Services at any time, with or without notice, for violations of this Agreement or operational necessity. Upon termination, your access rights immediately cease.

13. GOVERNING LAW AND INTERPRETATION

This Agreement is governed by the laws of the State of Illinois, without regard to conflict-of-law principles. Exclusive jurisdiction and venue shall lie in the state and federal courts located in Illinois.

If any provision is found unenforceable, the remaining provisions remain in full force. Provisions that by their nature should survive termination shall survive.
